Following the breakdown of acquisition talks, Rain AI has almost ceased operations, with most of its workforce departing. It remains uncertain if any former Rain AI employees have joined OpenAI through a different arrangement.

This agreement allows OpenAI to obtain selected intellectual property without taking on the entire company. It may also provide access to chip designs and related research pertinent to its AI computing framework.

However, OpenAI has not revealed any plans concerning the potential applications of these patents. The link between the acquired assets and any forthcoming OpenAI chip remains uncertain.

Rain AI focused on energy-efficient AI chip development

Founded approximately eight years ago, Rain AI specialized in processors developed for artificial intelligence applications. The company aimed to lower energy consumption and computing costs associated with training and deploying AI models.

Rain AI developed what they referred to as neuromorphic processing units (NPUs), with the goal of creating chips that could mimic certain features of the human brain while supporting both AI training and inference.

Among its supporters was Altman, who made a personal investment in Rain AI. This relationship drew interest as OpenAI considered potential collaborations with the startup.

In 2019, OpenAI signed a nonbinding letter of intent to purchase $51 million worth of Rain AI chips upon their availability, according to previously reviewed documents. However, this arrangement did not evolve into a finalized chip sale.

Later, Rain AI faced challenges in acquiring sufficient funding and market traction. Reports in 2025 indicated that the company began exploring a potential sale after a $150 million Series B funding round failed to materialize.

Acquisition aligns with OpenAI’s hardware strategy

The acquisition of Rain AI’s patents aligns with OpenAI’s drive to exert more control over its computing infrastructure for model development and operations. Advanced AI technologies require numerous accelerators, considerable energy consumption, and extensive data center resources.

By acquiring these patent assets, OpenAI could either enhance its in-house chip expertise or strengthen its partnerships with external semiconductor firms. It also protects invaluable technology as Rain AI winds down its operations.

This limited acquisition of patents does not imply that startups funded by Altman automatically receive financial backing from OpenAI. Instead, it reflects OpenAI’s selective strategy in acquiring particular technological assets while opting against a full acquisition of Rain AI.

While Altman’s investment is relevant from a governance angle, current reports do not suggest any conflicts of interest or his direct involvement in the approval of this transaction.

Increased US oversight in tandem with AI infrastructure development

OpenAI’s expansion in hardware occurs amid increasing scrutiny from Washington regarding advanced AI systems and the necessary infrastructural support.

According to Crypto.news in late July, OpenAI and Anthropic collaborated with the Trump administration to establish a consistent federal review process for models that include sophisticated cybersecurity or national security features. Despite being rivals, both companies aimed for standards applicable across the sector.

The proposed federal framework would permit developers to submit designated “covered frontier models” to the government for an evaluation lasting up to 30 days before releasing them to other trusted partners. A voluntary framework was finalized by the White House in early August, although questions remain regarding which models will meet the criteria.

The acquisition of Rain AI’s patents represents merely one aspect of OpenAI’s overall strategy, but both efforts highlight the increasing importance of U.S.-controlled technology, computing capacity, and intellectual property. OpenAI has yet to announce if the Rain patents will be utilized for an internal chip project, a licensing initiative, or future partnerships.
